Ronald J. Snow



In addition to counseling on business transactions and general corporate and operational matters, efficiently handling mergers and acquisitions, asset purchases and sales, and financing, Ron has particular experience in commercial and residential real estate.  Finance transactions, disputes, construction, tax planning and implementing complex transactions involving real estate assets are typical projects. Ron helps his clients identify their goals and clarifies the process to achieve their goals via structure choices, implementation and negotiation.

His efficient navigation of complex situations has made Ron a trusted advisor, helping clients with his broad experience and analytical and communication skills. His formative training in a 100+ year Colorado construction family with stints behind the wheel barrows, jack hammers, picks, shovels and hammers give Ron a unique window to a diverse client base.


Real Estate

With more than three decades of experience in all aspects of real estate law and finance, Ron regularly handles the sale, acquisition, leasing, subdivision, construction and development of undeveloped land, commercial, industrial and residential projects, including office buildings, condominiums and conversions, and single-family residential developments. His varied experience is helpful to diverse clients, whether they be lenders, developers, landowners, investors, business owners or banks. Ron’s real estate finance work includes representing large insurance companies, banks, private lenders and borrowers in loan transactions, workouts of non-performing loans, construction defects and mechanics’ lien claims. Ron’s “dirt” and land work includes commercial leases, easements, construction agreements (including liability avoidance planning), property management contracts, agreements concerning surface use by oil and gas producers, land use, zoning and zoning change issues and disputes.

Corporate & Securities (Transactions)

Ron advises clients regarding the acquisition and sale of businesses (stock and asset transactions), capital financing transactions, corporate governance, negotiation and drafting of contracts and commercial agreements, and secured transactions. Ron’s substantial practical experience includes the representation of startup and existing ventures and the negotiation, structuring, drafting, implementation and financing of limited partnerships, limited liability companies, corporations and joint ventures. His practice also encompasses the negotiation and drafting of agreements relating to shareholders, executive employment (options, warrants and non-competition provisions), and strategic and succession planning.

Intellectual Property

Ron has drafted and negotiated agreements regarding the development, licensing, disposition and protection of intellectual property rights in the technology industry and other industries.

Significant Representations

Negotiation, drafting, financing and closing of the purchase of a $250 million bundled multi-family portfolio followed by conversions to condominiums and resale.

Negotiation, drafting and closing of a debt restructure of an eight-figure New York Stock Exchange collateralized mortgage obligation (CMO).

Negotiation and drafting of a comprehensive series of development and financing agreements for a 2,000 acre, golf and destination hotel resort and spa development with 1,700 dwelling units, commercial uses, and a master special district managing the common areas and covenant enforcement.

Extensive lender and borrower representations in workouts of large shopping centers, mixed use developments, recreational vehicle park portfolio, a mixed-use high rise condominium and industrial buildings.

Local real estate counsel for several Fortune 100 companies and a pension trust and in acquisitions, development, land use approvals, and zoning disputes.

Advice and counsel to a major religious organization on real estate matters, including restructuring ownership of a vast portfolio of significant real estate assets.

Resolved an eight-figure trespass claim against client by adjacent property developer for zero liability in settlement and dismissal with prejudice.

Resolved condemnation action brought by the Colorado Department of Transportation for ten times initial offer prior to trial.

Halted a $450 million development jeopardizing adjacent property owners’ properties in subjacent and lateral support dispute with a large settlement paid to the client.

Rental adjustment of ground leases under major high rise office towers.

Negotiation and drafting of numerous limited liability company, limited partnership, joint venture and partnership agreements, including tax structuring in the real estate context.

Negotiation and drafting of a licensing and marketing agreement between a major NYSE computer hardware and software company and client for a game-changing computer design and development

and overseas manufacturing.

Successful court-ordered modification of a 90-year-old trust to allow formation of investment entities and other relief not contemplated in the original trust without a hearing and without any changes to the petitioners’ proposed order.

Planning and drafting of extensive liability avoidance contracts and related documents for multi-family construction, development and condominium projects which resulted in dismissal of several construction defects class actions.
